The Corporate Counsel will be responsible for supporting Alteryx’s public company work, including taking primary responsibility for reviewing filings with the Securities and Exchange Commission as well as coordinating cross-functionally with other departments, such as Accounting, Finance and Tax. This role will also be responsible for supporting general corporate matters and Alteryx’s environmental, social and governance efforts, including through engagement with our investors.
Responsibilities:
Provide legal review and analysis of SEC filings, including Forms 10-K, 10-Q, and 8-K as well as Proxy Statement filings and ownership reports on Forms 3, 4 and 5
Participate in preparation of quarterly earnings release materials and advise on securities law compliance and disclosure matters, including disclosure controls and procedures
Assist in capital markets and related financial transactions as needed, including equity and debt offerings
Advise and support the company’s compliance with applicable securities laws as well as applicable stock exchange requirements
Advise and assist on corporate governance matters, including with respect to executive compensation, ESG efforts and reporting, and external interactions with proxy advisory firms and investors
Assist with Board and committee meeting preparation, including drafting and reviewing Board resolutions and corporate policies
Monitor and advise on new SEC rulemakings
Coordinate with and oversee outside counsel
Participate in cross-departmental initiatives to design and implement organization-wide objectives
Participate in projects to implement Legal Department operational efficiencies
Provide support on other transactional matters and special projects
Requirements:
J.D. with excellent academic credentials and top tier law firm experience
Licensed to practice law in at least one U.S. state
Minimum of five years’ experience as a corporate and securities attorney
Excellent oral and written communication skills with significant attention to detail
Demonstrated ability to be organized, work efficiently, prioritize workflow, meet deadlines, and manage cross-functional projects
Sound and practical business judgment with an awareness of when issues need to be escalated
Proven track record of learning quickly, taking initiative, working proactively, being resourceful and taking on additional responsibility
Pay Transparency
Alteryx is committed to fair, equitable, and transparent compensation. Final compensation will be determined by various factors such as your relevant work experience, education, certifications, skills, and geographic location.
The salary range for this role in Colorado, Southern California and Rhode Island is $136,600 - 232,200.
The salary range for this role in New York City and Northern California is $149,000 - $253,300.
In addition, you may be eligible for additional compensation, such as a bonus and stock grants. Employees may also be eligible for a wide range of other benefits, including medical, retirement, financial, wellness, time off, employee discounts, and others.
